1. Agreement to Terms

By registering, accessing, or using AMBER AI ("AMBER AI", "we", "us", or "our") services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, do not access or use our platform.

AMBER AI is an independent software service and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. WhatsApp® is a registered trademark of Meta Platforms, Inc.

2. Account Registration & Security

To use the platform, you must register a business account. You are responsible for keeping your credentials secure and implementing Two-Factor Authentication (2FA) when required. We reserve the right to suspend any account involved in fraudulent activity or bulk-spam configurations.

3. Meta & WhatsApp Platform Compliance

AMBER AI provides automation SaaS tools that integrate with Meta's WhatsApp Business API. You must obtain and connect your own WhatsApp Business API keys. You are fully responsible for complying with:

• Meta Platform Terms of Service
• WhatsApp Business Policy
• Meta Developer Policies
• Spam regulations, opt-in rules, and localized communications laws (e.g. TCPA, CAN-SPAM, DPDP Act India).

We hold no responsibility if Meta suspends or bans your WhatsApp phone number due to spam complaints or policy violations.

4. Prohibited Uses

You agree not to use AMBER AI for any of the following:

• Sending unsolicited bulk messages (spam) to WhatsApp users who have not opted in.
• Harvesting, scraping, or collecting WhatsApp user phone numbers without consent.
• Sending messages that violate WhatsApp's messaging guidelines, including prohibited content categories (adult content, gambling, firearms, drugs, etc.).
• Using the platform for any illegal activity, fraud, phishing, or impersonation.
• Reverse-engineering, decompiling, or attempting to extract source code from AMBER AI.
• Reselling or redistributing access to AMBER AI without prior written authorization.
• Using Meta Platform Data obtained through our integration for any purpose other than providing services to your own customers.
• Violating any applicable local, national, or international laws or regulations.

5. Subscriptions, Billing & Token Usage

Billing is processed on a recurring basis (monthly/yearly) through our integrated payment gateways. Your subscription specifies token limits. Excess token usage may trigger automatic throttling or require a plan upgrade.

6. Disclaimer of Warranties

AMBER AI is provided "as is" and "as available". We do not guarantee continuous, uninterrupted uptime or that third-party AI LLMs (Gemini, Claude, GPT) will produce 100% accurate customer responses. We are not responsible for any actions taken by Meta Platforms, Inc. regarding your WhatsApp Business Account, including but not limited to account suspension or termination.

7. Termination

We reserve the right to suspend or permanently terminate your access to AMBER AI at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms of Service or our Prohibited Uses policy.
• Violation of Meta Platform Terms, WhatsApp Business Policy, or any applicable laws.
• Non-payment of subscription fees.
• Fraudulent or abusive behavior on the platform.
• Actions that put our infrastructure, other users, or Meta's systems at risk.

Upon termination, your access will be revoked and your data will be deleted in accordance with our Privacy Policy retention schedule. Subscription fees paid are non-refundable upon termination for policy violations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AMBER AI and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including damages resulting from API downtime, data loss, or changes to Meta's platform policies. Our total liability to you shall not exceed the fees paid by you to AMBER AI in the 3 months preceding the claim.
